PUBLIC AGREEMENT (OFFER)

for Ordering, Purchase and Sale, and Delivery of Goods

This Agreement is an official and public offer of the Seller to conclude a contract for the purchase and sale of Goods presented on the website ledcomfort.eu. This Agreement is public, meaning that in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all Buyers regardless of their status (individual, legal entity, or individual entrepreneur), without granting preference to one Buyer over another.

By concluding this Agreement, the Buyer fully accepts the terms and conditions for placing an order, payment, delivery, return of goods, liability for bad faith orders, and all other terms of this Agreement. The Agreement shall be deemed concluded at the moment the Buyer clicks the “Confirm Order” button on the checkout page in the “Cart” section and receives electronic confirmation of the order from the Seller.

1. Definitions

1.1. Public Offer (hereinafter – the “Offer”) – a public proposal of the Seller addressed to an indefinite number of persons to conclude a distance purchase and sale agreement (hereinafter – the “Agreement”) under the terms set forth in this Offer.

1.2. Goods or Service – the subject matter of the transaction selected by the Buyer on the Online Store website and placed in the cart, or already purchased remotely from the Seller.

1.3. Online Store – the Seller’s website at www.ledcomfort.eu created for concluding retail and wholesale purchase and sale agreements based on the Buyer’s ознакомление with the description of Goods provided by the Seller via the Internet.

1.4. Buyer – a legally capable individual who has reached 18 years of age, receives information from the Seller, places orders for Goods presented on the Online Store website for purposes not related to business activities, or a legal entity or individual entrepreneur.

1.5. Seller – Sole Proprietor Kashyn Serhii Oleksiiovych (identification code 3131309570), acting in accordance with the current legislation of Ukraine, registered at: 61070, Kharkiv, 55 Dacha Street, Building 11.

2. Subject of the Agreement

2.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.

2.2. The date of conclusion of the Agreement (acceptance of the Offer) shall be the date on which the Buyer completes the order form on the Online Store website, provided that the Buyer receives electronic confirmation of the order from the Seller. If necessary, at the Buyer’s request, the Agreement may be executed in writing.

3. Order Placement

3.1. The Buyer independently places an order in the Online Store via the “Cart” form or by email or phone number указанным in the contact section of the Online Store.

3.2. The Seller has the right to refuse to process the order if the information provided by the Buyer during checkout is incomplete or raises doubts as to its validity.

3.3. When placing an order, the Buyer must provide the following mandatory information:

  • Full name;

  • Delivery address (if delivery is required);

  • Contact phone number;

  • Identification code (for legal entities or individual entrepreneurs).

3.4. The name, quantity, article number, and price of the selected Goods are indicated in the Buyer’s cart.

3.5. If either Party requires additional information, it has the right to request it from the other Party. Failure to provide necessary information releases the Seller from liability for proper service performance.

3.6. The Buyer is responsible for the accuracy of the information provided when placing the order.

3.7. By accepting this Offer and placing an order, the Buyer confirms that:

  • He/she has fully read and agrees to the terms of this Offer;

  • He/she consents to the collection, processing, and transfer of personal data in accordance with the Law of Ukraine “On Personal Data Protection,” including for the purpose of fulfilling this Agreement and conducting settlements.

4. Price and Delivery

4.1. Prices are determined by the Seller and indicated on the Online Store website in Ukrainian hryvnias (UAH), including VAT.

4.2. The Seller may change prices unilaterally. However, the price of a fully paid item cannot be changed.

4.3. The price does not include delivery costs. Delivery is paid by the Buyer according to the carrier’s tariffs.

4.4. Payment obligations are considered fulfilled upon receipt of funds in the Seller’s account.

4.5. Upon receipt of the Goods, the Buyer must verify quantity and quality in the presence of the carrier.

4.6. Ownership and risk pass to the Buyer upon receipt of the Goods or transfer to the selected carrier.

5. Rights and Obligations of the Parties

The Seller undertakes to:

  • Deliver Goods according to the Agreement;

  • Not disclose Buyer’s personal data except as required by law or for order fulfillment.

The Seller has the right to:

  • Amend the Agreement and prices by publishing updates on the website.

The Buyer undertakes to:

  • Review the Agreement and prices before concluding the Agreement;

  • Provide accurate information necessary for order fulfillment.

6. Return of Goods

6.1. The Buyer has the right to return non-food goods of proper quality within 14 days (excluding the purchase day), provided the goods were not used and retain their original condition and receipt.

6.2. Refunds are made within 30 calendar days from the date the Seller receives the returned Goods.

6.3. Refunds are made via bank transfer to the Buyer’s account.

6.4. Return shipping costs are borne by the Buyer.

6.5. In case of defects during the warranty period, the Buyer may submit claims under the Law of Ukraine “On Consumer Protection.”

6.6. The Seller is not responsible for defects caused by improper use, storage, third-party actions, or force majeure.

6.7. Goods with individually determined characteristics (custom size, configuration, etc.) cannot be returned if they can only be used by the specific Buyer.

6.8. Returns are made to the address указанному in the “Contacts” section of the website.

7. Liability

7.1. The Seller is not liable for damages caused by improper installation, use, or storage.

7.2. The Seller is not liable for failure due to inaccurate information provided by the Buyer.

7.3. The Parties are liable in accordance with Ukrainian law.

7.4. The Parties are released from liability in case of force majeure (war, natural disasters, etc.).

8. Confidentiality and Personal Data Protection

8.1. By providing personal data, the Buyer consents to its processing without time limitation.

8.2. Disclosure to contractors for order fulfillment does not constitute a breach.

8.3. The Buyer is responsible for keeping personal data up to date.

9. Other Provisions

9.1. This Agreement is concluded in Ukraine and governed by Ukrainian law.

9.2. Disputes are resolved through negotiations or in court in accordance with Ukrainian law.

9.3. The Seller may amend this Agreement unilaterally.
